Legal Counsel

Leading Hedge Fund | Hong Kong

A well-established hedge fund with operations across Hong Kong and Beijing is looking to appoint a Legal Counsel to join its legal and compliance team.

Reporting into senior management, this role offers broad exposure across investment funds, regulatory, corporate, and commercial legal matters. The successful candidate will work closely with portfolio managers, investor relations, operations, compliance, and external counsel, making this an excellent opportunity for a lawyer seeking a diverse and commercially focused in-house role within the hedge fund industry.

Responsibilities

* Provide legal support on fund formation, restructurings, product launches, and ongoing fund maintenance

* Review and negotiate fund documentation, including offering memoranda, subscription agreements, side letters, investment management agreements, and service provider contracts

* Advise on legal and regulatory matters relevant to hedge fund and asset management businesses

* Draft, review, and negotiate a wide range of commercial agreements, including technology, research, vendor, consultancy, confidentiality, and marketing-related contracts

* Support corporate governance, entity management, and cross-border legal projects

* Partner closely with investment, operations, investor relations, finance, and compliance teams on day-to-day legal matters

* Coordinate with external counsel across multiple jurisdictions

* Provide practical, risk-based legal advice to support business growth and strategic initiatives

Requirements

* Qualified lawyer in any jurisdiction; qualification is flexible

* Approximately 3-10 years of post-qualification experience, although strong candidates outside this range will be considered

* Experience gained within a hedge fund, asset manager, financial institution, investment bank, private equity firm, or reputable law firm

* Exposure to investment funds, asset management, corporate, commercial, or financial services legal matters

* Strong drafting, negotiation, and stakeholder management skills

* Ability to work independently and manage a broad range of legal matters

* Commercial mindset and willingness to operate in a lean, high-performing environment
